Vendor Agreement Last Updated: 09-05-2026 This Vendor Agreement (“Agreement”) governs participation of sellers (“Vendor”, “Seller”) on Scrollop, an online marketplace operated by Frontmart, a Proprietorship business. By registering as a Vendor on https://www.scrollop.in, you agree to comply with the terms below. 1. Platform Information Platform Name: Scrollop Operated By: Frontmart (Proprietorship) Registered Address: 501, Meghansh Complex, Gurukul Road, Ahmedabad, Gujarat, 380052, India Scrollop operates an online multi-vendor marketplace enabling Vendors to sell products to customers across India. 2. Vendor Eligibility To sell on Scrollop, Vendors must: - Be legally capable of conducting business in India. - Provide accurate business and identity information. - Complete mandatory KYC verification. - Maintain updated contact and banking details. Scrollop reserves the right to approve, reject, suspend, or terminate Vendor registrations at its sole discretion. 3. Vendor KYC & Compliance Policy All Vendors must complete verification by submitting: - GSTIN (if applicable) - PAN Card - Aadhaar Card - Bank Account Details - FSSAI License (mandatory for food-related products) Vendors confirm all documents are authentic and valid. Failure to maintain compliance may result in listing removal, payout hold, or account suspension. 4. Marketplace Relationship (Hybrid Model) Scrollop operates under a Hybrid Marketplace Model. - Vendors list and supply products on the Platform. - Scrollop provides marketplace infrastructure including listing management, marketing exposure, payment processing, customer interface, and order facilitation. - Scrollop may act as seller of record or transaction facilitator for certain orders while products are supplied by independent Vendors. Vendors remain fully responsible for: - Product authenticity - Product safety and quality - Legal compliance - Accurate descriptions and representations Scrollop does not manufacture products unless explicitly stated. 5. Product Listings Vendors agree to: - Upload genuine product images. - Provide accurate specifications and pricing. - Maintain real-time stock availability. - Sell only lawful and compliant products. - Avoid counterfeit, prohibited, or infringing goods. Scrollop may edit, suspend, or remove listings violating platform policies. 6. Pricing & Commission Structure Scrollop may apply either: 1. Category-based commission percentage, or 2. Direct vendor commission percentage. Applicable commission structures will be communicated through the Vendor Dashboard or official notifications. Scrollop reserves the right to revise commission structures with prior notice. 7. Orders & Fulfillment Obligations Vendors must: - Process confirmed orders promptly. - Dispatch products within defined timelines. - Provide valid shipment tracking details. - Ensure secure packaging. Repeated order failures, cancellations, or delays may result in penalties or suspension. 8. Shipping Responsibility Scrollop follows a Hybrid Shipping Model: - Vendor-managed shipping, or - Platform-supported logistics solutions. Vendors remain responsible for proper packaging, dispatch accuracy, and shipment readiness. 9. Returns, Refunds & Replacements Vendors must comply with: - Minimum 7-day return or replacement window, or - Product-specific policies defined during listing. Vendor responsibilities include: - Accepting eligible returns - Approving replacements/refunds - Resolving product-related disputes Scrollop may intervene to protect customer experience and marketplace integrity. 10. Payments & Settlement Customer payments are processed via secure payment gateways including Razorpay. Vendor settlements: - Are transferred after deduction of applicable commissions, adjustments, or refunds. - Follow Scrollop settlement cycles. - May be temporarily withheld in cases involving disputes, fraud checks, excessive returns, or policy violations. Scrollop retains the right to adjust settlements where required. 11. Taxes & Regulatory Responsibility Vendors are solely responsible for: - GST compliance - Tax filings - Invoice generation - Regulatory approvals - Applicable licenses Scrollop shall not be liable for vendor tax obligations. 12. Scroll Points (Buy-to-Earn Program) Scrollop operates a customer rewards program called Scroll Points. Vendors acknowledge that: - Customers may redeem Scroll Points during checkout. - Platform-funded promotional adjustments may apply. - Settlement values may reflect approved reward deductions. Scrollop independently administers reward calculations and rules. 13. Prohibited Products Vendors shall not list or sell: - Counterfeit goods - Illegal or restricted products - Products requiring licenses without valid authorization - Items violating Indian consumer or safety laws Violations may result in immediate account termination and reporting to authorities. 14. Vendor Conduct & Marketplace Ethics Vendors shall not: - Manipulate ratings or reviews. - Engage in fraudulent orders. - Bypass Scrollop payment systems. - Direct customers outside the Platform for private sales. - Misuse customer data. Violation may result in permanent suspension. 15. Intellectual Property Rights Vendors confirm they own or have legal rights to use: - Product images - Brand names - Logos - Descriptions and content Vendors agree to indemnify Scrollop against intellectual property infringement claims. 16. Data Protection & Confidentiality Vendors must: - Protect customer information. - Use customer data only for order fulfillment. - Maintain confidentiality of platform operations and data. Unauthorized use or sharing of data is strictly prohibited. 17. Suspension & Termination Scrollop may suspend or terminate Vendor accounts due to: - Fraudulent activity - Policy violations - Customer complaints - High cancellation or return rate - Failed KYC compliance - Legal or regulatory requirements Termination may occur without prior notice in serious cases. 18. Limitation of Liability While Scrollop may act as seller interface or facilitator for certain transactions, Vendors agree that primary responsibility for product quality, legality, safety, warranties, and regulatory compliance remains with the Vendor supplying the product. Vendors shall indemnify and hold Scrollop harmless against claims, damages, or losses arising from: - Defective products - Illegal goods - Misrepresentation - Vendor negligence Scrollop’s maximum liability shall not exceed the value of the disputed order. 19. Indemnification Vendors agree to defend, indemnify, and hold harmless Scrollop and Frontmart from any claims arising out of: - Product defects - Consumer complaints - Regulatory violations - Intellectual property disputes - Tax liabilities 20. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India. All disputes shall fall under the jurisdiction of courts located in Ahmedabad, Gujarat. 21. Modifications Scrollop reserves the right to modify this Agreement at any time. Continued use of the Platform after updates constitutes acceptance of revised terms. 22.
